MaxIT Consulting – Max Corporate Group
(“MaxIT Consulting,” “MaxIT,” “we,” “us,” or “our”).

These Terms and Conditions of Use (“Terms”) govern access to and use of
our websites, content, forms, candidate portals, digital resources and
other functionalities that MaxIT Consulting may make available through
digital channels.

By accessing, browsing, completing forms, providing information or using
any of these functionalities, you agree to be bound by these Terms and
by any additional policies, notices and conditions that may apply.

Statements of Work (SOWs), service orders, recruitment, staffing,
executive search, consulting, partnership, confidentiality,
candidate representation or commercial agreements, or other specific
instruments entered into between MaxIT Consulting and clients,
candidates, consultants, suppliers, partners or other parties.

Where a specific agreement applies to a particular relationship,
the provisions of that agreement will prevail with respect to that
relationship in the event of a conflict with these Terms.

and recruitment-related purposes.

Among other activities, we may provide information relating to:

  • Candidate sourcing, screening, verification and assessment.
  • Business services and talent solutions.
  • Partnerships, alliances and professional collaborations.
  • Business development and client relationships.
  • Institutional and corporate information about MaxIT Consulting.

The publication or availability of information through the website does
not, by itself, constitute a contractual offer, an offer of employment,
a promise of engagement or an obligation to provide or acquire services.

3. Eligibility and Capacity to Use the Website

By using our websites and digital resources, you represent that you have
sufficient legal capacity to perform the relevant actions or that you
have appropriate authorization when acting on behalf of an organization
or another individual.

Our services are primarily intended for businesses, professionals,
candidates, consultants, contractors, partners and other adult users.

4. Responsible Use

Users agree to use MaxIT Consulting websites, forms and digital resources
lawfully, responsibly and in accordance with these Terms.

Use of the website must not impair its operation, compromise the security
of third parties or interfere with legitimate recruitment, hiring,
communication or service-delivery processes.

Prohibited activities include, without limitation:

  • Using the website for unlawful, fraudulent, abusive or deceptive purposes.
  • Impersonating another person or organization.
  • Knowingly providing false, fraudulent or materially misleading information.
  • Attempting to gain unauthorized access to accounts, systems, servers, databases or restricted information.
  • Interfering with the security, availability, performance or operation of our systems.
  • Introducing malware, malicious code or tools intended to compromise technology infrastructure.
  • Attempting to circumvent authentication, security, verification or access-control mechanisms.
  • Manipulating verification, recruitment, candidate representation or submission processes.
  • Using bots or automation to abuse website forms or functionality.
  • Conducting mass scraping, systematic extraction or unauthorized automated reproduction of content, except where legally permitted.
  • Using our content, trademarks, information or infrastructure in a manner that may harm MaxIT Consulting, clients, candidates, partners or third parties.

6. Information Provided by Users

When you provide information through forms, recruitment processes,
candidate verification, commercial inquiries, service requests or other
channels, you are responsible for taking reasonable steps to ensure that
such information is accurate, complete, current and not misleading.

You must not provide information relating to third parties unless you
are authorized to do so where such authorization is legally required.

MaxIT Consulting may request clarifications, additional information or
reasonable verification where necessary for a particular process.

7. User-Provided Content and Documents

You may provide MaxIT Consulting with CVs, resumes, documents,
professional profiles, responses, forms or other materials related to
a legitimate interaction.

You retain any rights you may have in such content.
By providing it, you authorize MaxIT Consulting to receive, store,
internally reproduce, analyze, organize and use it to the extent
reasonably necessary to manage the relevant interaction, process,
opportunity or service, subject to our Privacy Policy and applicable law.

8. Recruitment, Candidates and Professional Opportunities

MaxIT Consulting may publish, communicate, manage or participate in
employment, professional, consulting or contracting opportunities for
clients, partners or other organizations.

The existence or publication of an opportunity does not guarantee that it
will remain open or available, or that a candidate will be submitted,
interviewed, selected or hired.

Receipt of a CV, resume, profile, form or application does not constitute:

  • An offer of employment.
  • A guarantee of an interview.
  • A guarantee of submission to a client.
  • A guarantee of hire or placement.
  • An employment relationship with MaxIT Consulting.
  • An obligation on the part of MaxIT Consulting to represent the candidate.
  • An obligation on the part of a client to consider, interview or hire the candidate.

9. Candidate Submission and Representation

Certain processes may require the candidate’s prior consent,
authorization or confirmation before MaxIT Consulting submits or
represents their profile to a particular organization or opportunity.

A submission may be subject to screening, eligibility, availability,
work authorization, location, compensation, duplicate-submission,
representation authorization and other applicable requirements.

MaxIT Consulting may decide not to make or continue a submission where it
reasonably determines that the candidate’s profile, documentation,
authorization or circumstances do not satisfy applicable requirements.

10. Candidate Verification and Process Integrity

Certain processes may include reasonable measures intended to verify
identity, eligibility, representation authorization, work authorization,
geographic requirements, duplicate-submission prevention, security,
consistency or process integrity.

Where appropriate and legally permitted, such measures may consider
candidate responses, professional information, process records and
certain technical signals associated with a digital interaction.

The processing of personal information for these purposes is subject to
our Privacy Policy and applicable law.

11. Information About Job Opportunities

MaxIT Consulting seeks to communicate reasonably accurate information
about available opportunities.

However, some information may be provided by clients, hiring
organizations, partners, applicant-tracking systems, marketplaces or
other external platforms and may be modified, paused, updated or
cancelled without prior notice.

Among other matters, the following may be subject to change or confirmation:

  • Compensation.
  • Benefits.
  • Location.
  • On-site, hybrid or remote working arrangements.
  • Number of positions available.
  • Technical and professional requirements.
  • Seniority level.
  • Work authorization or visa requirements.
  • Expected start date.
  • Recruitment stages and timelines.
  • Contractual terms.

Unless expressly agreed otherwise, the hiring organization retains final
decision-making authority regarding candidate selection, hiring,
compensation and the conditions of the opportunity.

12. No Candidate Placement Fees

As a general principle of our recruitment services, MaxIT Consulting
does not charge candidates for being considered, submitted or hired for
opportunities managed under a standard recruitment or placement model.

No person is authorized to request payment on behalf of MaxIT Consulting
in exchange for guaranteeing an interview, submission, selection or hire.

This provision does not prevent the existence of separate, distinct and
legally permitted professional services that may be offered under specific
and clearly identified terms.

13. Technology, Automation and Artificial Intelligence

MaxIT Consulting may use technology tools, automation, artificial
intelligence, machine learning, applicant-tracking systems, search
engines, matching systems, ranking tools, profile analysis and other
technologies to support professional and recruitment processes.

These technologies may be used for activities such as:

  • Matching of skills, experience and opportunities.
  • Profile prioritization and ranking.
  • Screening and interview support.
  • Transcription and summarization.
  • Communications and workflow automation.
  • Analytics and operational support.

These technologies are intended to support professional processes and
human decision-making where appropriate.

14. Electronic Communications

By using our forms, providing contact information or participating in a
professional process, we may communicate with you through channels
reasonably appropriate for the relevant interaction.

These channels may include:

  • Email.
  • Telephone.
  • SMS or text messaging.
  • Messaging applications.
  • Professional platforms.
  • Video conferencing.

Commercial or promotional communications will be subject to applicable
legal requirements and communication preferences.

15. Electronic Consents and Confirmations

Where a form or process requires you to select an option, accept terms,
provide consent, confirm a statement or submit an authorization, that
action may be electronically recorded as evidence of the relevant
interaction.

An electronic confirmation may include contextual information reasonably
necessary to document the transaction or interaction, subject to applicable
law and our Privacy Policy.

16. Intellectual Property

Unless otherwise indicated, proprietary text, designs, graphics,
visual elements, website structure, software, documents, logos,
trademarks, trade names and other content belong to MaxIT Consulting,
related companies or are used with appropriate authorization.

Access to the website does not grant users intellectual-property rights
or implied licenses in such content.

Unauthorized reproduction, modification, distribution, publication,
commercial exploitation or use of protected content is prohibited,
except with prior authorization or where such use is legally permitted.

Third-party trademarks, logos and content remain the property of their
respective owners.

17. Third-Party Links, Integrations and Services

Our websites and processes may include links to or integrations with
applicant-tracking systems, professional networks, recruitment
marketplaces, technology providers, communication platforms, payment
systems or other services operated by third parties.

Those services are subject to their own terms, conditions and privacy
policies.

MaxIT Consulting does not control or guarantee the availability,
security, accuracy, content or practices of independently operated
third-party services.

The existence of a link or integration does not necessarily imply
sponsorship, approval, endorsement or a corporate association with the
relevant third party.

18. Availability and Operation

We seek to keep our websites and digital services available, secure
and operational.

However, we do not guarantee continuous, uninterrupted, permanent,
error-free or completely secure access.

  • Other circumstances reasonably beyond our control.

19. Accuracy and Updating of Information

We seek to ensure that information published through our websites is
reasonably accurate and current.

Nevertheless, errors, omissions, outdated information or subsequent
changes may occur.

MaxIT Consulting may correct, update, modify, replace or remove content
where reasonably necessary.

20. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and its
content are provided on an “as available” basis without additional
warranties regarding specific outcomes.

MaxIT Consulting does not guarantee that:

  • An opportunity will remain available.
  • An inquiry will produce a particular outcome.
  • A candidate will be submitted or interviewed.
  • A recruitment process will result in a hire.
  • The website will be free from errors or interruptions at all times.
  • Information provided by third parties will remain unchanged.

21. No Professional Advice

Unless a professional service has been specifically engaged for such
purpose, general website content does not constitute legal, tax,
financial, immigration, employment or other regulated professional advice.

Users should obtain appropriate professional advice where their particular
circumstances require it.

22. Limitation of Liability

To the fullest extent permitted by applicable law, MaxIT Consulting will
not be liable for indirect, incidental, special or consequential losses
or damages arising solely from access to, use of, unavailability of or
inability to use the website.

We also do not guarantee specific outcomes resulting from the use of
information, content, tools, links, forms or resources made available
through the website.

Nothing in these Terms is intended to exclude or limit liability where
such exclusion or limitation is not permitted by applicable law.

23. Suspension or Restriction of Access

MaxIT Consulting may restrict, suspend or block access to certain digital
resources where there is a reasonable basis to believe that:

  • These Terms have been violated.
  • There is a risk to the security or integrity of systems.
  • Fraudulent or abusive activity is occurring.
  • Unauthorized automation is being used.
  • An attempt is being made to manipulate a professional or recruitment process.
  • Access may cause harm to MaxIT Consulting or third parties.
  • The action is necessary to comply with a legal or security obligation.

24. Privacy and Data Protection

The processing of personal information associated with our websites,
forms, communications and professional processes is governed by our

Privacy Policy
.

We encourage you to review it for information about the categories of
personal information we may process, sources, purposes, recipients,
international transfers, retention, technologies used and rights that
may be available to you.

25. Force Majeure and Circumstances Beyond Our Control

MaxIT Consulting will not be responsible for delays, interruptions or
failures arising from circumstances reasonably beyond its control,
including widespread infrastructure failures, telecommunications
outages, cloud-service interruptions, third-party provider failures,
cybersecurity incidents, governmental actions, conflicts, natural
disasters or other force majeure events, subject to applicable law.

26. Changes to the Website and These Terms

MaxIT Consulting may modify, update, suspend or remove website content,
functionality or sections where reasonably necessary.

We may also update these Terms to reflect changes in services,
operations, technologies, business practices or legal requirements.

The current version will be the version published on the website together
with its latest revision date.

27. Governing Law and Jurisdiction

Unless a specific applicable agreement provides otherwise or mandatory
law requires a different result, these Terms will be governed by the law
applicable to the MaxIT Consulting entity or operation responsible for
the relevant relationship.

With respect to disputes arising exclusively from general use of this
website, and where legally permitted, the parties may submit to the
competent ordinary courts of the Autonomous City of Buenos Aires,
Republic of Argentina.

The foregoing is without prejudice to any mandatory jurisdiction,
venue or legal rights that may apply under applicable law.

28. Severability

If any provision of these Terms is determined to be invalid, unenforceable
or unlawful, that determination will not affect the validity of the
remaining provisions, which will remain in effect to the fullest extent
permitted by law.

29. No Waiver

A failure or delay in exercising any right under these Terms will not
constitute a permanent waiver of that right unless applicable law
provides otherwise.

30. Assignment and Continuity

MaxIT Consulting may transfer or assign rights and obligations relating
to operation of the website as part of a reorganization, succession,
acquisition, business transfer or other corporate transaction, subject
to applicable legal requirements.

Users may not transfer rights or obligations arising under these Terms
where doing so would be inconsistent with the nature of the relationship
or without authorization where such authorization is required.

31. No Special Relationship Created by Website Use

Mere access to or use of the website does not, by itself, create an
employment, corporate, fiduciary, commercial representation, joint venture,
legal partnership or agency relationship between the user and
MaxIT Consulting.

Any such relationship must arise under a specific agreement where
applicable.

32. Entire Agreement Regarding Website Use

These Terms, our Privacy Policy and any specific notices applicable to
particular functionality constitute the general framework governing use
of our websites and digital resources.

Specific contracts and agreements entered into between the parties will
continue to be governed by their own terms.
